Robert McNamara is a partner in the firm’s Tax practice.  Robert’s principal area of practice is federal income tax law with an emphasis on domestic business transaction planning.  He has significant experience advising publicly-traded partnerships (MLPs) on capital formation and acquisition activities and has served as tax counsel to both issuers and underwriters in connection with numerous debt offerings.  Robert also advises clients on federal income and Texas state tax issues in mergers and acquisitions, including tax-free reorganizations and like-kind exchanges.

Representative Experience

Robert has provided tax advice involving:

  • $2.8 billion merger of MLPs
  • $2 billion senior notes offering
  • $500 million initial public offering of a pipeline MLP
  • $850 million acquisition of oil & gas properties in a reverse like kind exchange
  • $3.5 billion tax-free acquisition of publicly owned energy company
  • $100 million convertible notes offering with contingent interest
