Paul’s practice covers general corporate and securities matters with an emphasis on registered securities offerings and private placements, largely in the energy and natural resources industries.  His capital markets experience includes representation of both issuers and underwriters in initial public offerings as well as public and private offerings of equity and debt securities of oil and natural gas exploration, natural gas pipeline, and shipping companies.  Paul also counsels companies in connection with periodic reporting, insider/ownership reporting and corporate governance issues.

• Representation of issuer in connection with $575 million initial public offering of a NYSE-listed limited partnership.
• Representation of issuer in connection with $313 million initial public offering of a NYSE-listed limited partnership.
• Representation of underwriters in connection with $189 million initial public offering of a NYSE-listed limited partnership. 
• Representation of issuer in connection with offering of $1.1 billion principal amount of senior notes.
• Representation of underwriters in secondary offerings ($138 million and $51 million) of common units of a NYSE-listed limited partnership.
