Laura is an Associate in the Corporate/Securities section of the Dallas office. She practices in the areas of corporate, securities, real estate and structured finance.
Her experience includes the representation of lenders in conjunction with commercial mortgage and asset-based lending, with expertise in the representation of mortgage loan originators in securitized lending programs and franchise loan originators. She advises clients on transactions involving lending, purchases/sales, sale-leasebacks, loan modifications, workouts, receivership and bankruptcy. She routinely handles due diligence, loan documentation, negotiation and loan closings for multi-state real estate transactions involving office, retail, hotel and multi-family properties, and has experience developing and updating program loan documents.
Laura is experienced in the areas of commercial and residential mortgage backed securities, with an emphasis on representation of issuers in connection with securitization transactions involving single-family and multi-family mortgage loans.
Laura also represents both public and private businesses in a wide variety of corporate and securities matters, including mergers and acquisitions, corporate finance, securities regulation, and private equity transactions.
Representative Experience
- Represented a publicly-traded company in the execution of a merger agreement to acquire a competitive public company in an all-cash transaction for $32 million and, in order to finance the transaction, in the issuance of $27 million of convertible preferred securities and warrants in a private placement, as well as the negotiation of a $30 million secured credit facility.
- Represented a banking client in the due diligence aspects involved in a $1 billion commercial mortgage repurchase facility.
- Represented a publicly-traded home financing company in connection with twenty-four securitizations of first lien mortgages totaling over $7.4 billion; was responsible for SEC filings, resolutions, opinion matters, custodial agreements, mortgage loan purchase agreements, private placement memoranda and other matters related to closings.
- Represented a commercial lender in financing a borrower's purchase from, and leaseback to, a franchisor of 83 convenience store and gas station properties located in seven states. The transaction involved eight loans totaling $66 million.
